TKNAIJA Marketplace
Vendor & Customer Terms and Conditions
Effective date: 24 October 2026
These Vendor & Customer Terms and Conditions ("Terms") govern the relationship between vendors ("Vendor", "Seller") and customers ("Customer", "Buyer") in relation to products purchased through the TKNAIJA Marketplace ("TKNAIJA", "Marketplace", "Platform").
By listing, offering, purchasing, or accepting delivery of products through TKNAIJA, the Vendor and Customer agree to comply with these Terms, together with TKNAIJA's Return & Refund Policy, Privacy Policy, Affiliate Terms and other applicable policies.
1. Role of TKNAIJA
TKNAIJA operates an online marketplace that enables independent Vendors to display and sell products to Customers.
Unless expressly stated otherwise, TKNAIJA is not the manufacturer, owner, or physical seller of products listed by independent Vendors.
The Vendor is responsible for the accuracy, quality, legality, availability, packaging, fulfilment and delivery of the products it offers through the Marketplace.
TKNAIJA provides the technology, marketplace infrastructure and applicable transaction services that facilitate interactions and purchases between Vendors and Customers.
2. Vendor responsibilities
Each Vendor agrees to:
- Provide accurate and complete information about every product listed.
- Display the correct product name, description, images, price, size, colour, specifications and available quantity.
- Ensure that products listed are genuine, lawful and safe to sell.
- Have the legal right to sell the products offered.
- Maintain accurate inventory.
- Honour confirmed orders subject to legitimate circumstances permitted by these Terms.
- Package products appropriately for delivery.
- Process orders within the timeframe communicated by TKNAIJA.
- Ensure that products correspond materially with their listing.
- Comply with applicable Nigerian laws and regulations.
- Cooperate with TKNAIJA regarding customer complaints, returns, refunds, investigations and disputes.
A Vendor must not list prohibited, counterfeit, stolen, unsafe, illegal or otherwise restricted products.
3. Customer responsibilities
Customers agree to:
- Provide accurate delivery and contact information.
- Review product descriptions, sizes, colours, specifications and prices before placing an order.
- Pay the applicable amount for confirmed orders.
- Use the Marketplace lawfully and honestly.
- Inspect products upon delivery where reasonably possible.
- Notify TKNAIJA/Vendor promptly of any problem with an order.
- Follow the applicable Return & Refund Policy.
- Not abuse the refund, return, cashback, promotional or dispute systems.
Customers must not intentionally damage products and then claim that the products were defective when the damage was caused after delivery.
4. Product listings and prices
Vendors are responsible for the accuracy of their listings.
The price displayed at checkout is the applicable customer purchase price, subject to any clearly disclosed promotion, discount, delivery charge, tax or other applicable charge.
TKNAIJA may require a Vendor to correct inaccurate information or may temporarily remove a listing where the listing appears misleading, unlawful, unavailable or otherwise inconsistent with Marketplace requirements.
5. Order placement
A Customer may place an order by selecting the desired product, quantity, applicable variants and delivery information and completing the checkout process.
An order is subject to successful payment authorization and confirmation.
TKNAIJA may cancel or place an order on hold where there is suspected fraud, payment failure, product unavailability, pricing error, regulatory concern or another legitimate reason.
Where an order is cancelled, any eligible refund will be handled in accordance with TKNAIJA's applicable refund procedures.
6. Payment
Customers may pay using the payment methods made available by TKNAIJA.
Where applicable, TKNAIJA may receive customer payments before the Vendor's eligible proceeds are released.
The Vendor acknowledges that customer payment does not necessarily mean that the Vendor's proceeds become immediately available for withdrawal.
TKNAIJA may deduct applicable Marketplace fees, commissions, refunds, reversals, chargebacks, penalties or other amounts properly payable under the Vendor's agreement with TKNAIJA before settlement.
7. Vendor fulfilment
After receiving an order notification, the Vendor must prepare and make the product available for fulfilment within the applicable timeframe.
The Vendor must not substitute a product, size, colour, specification or quantity without the Customer's consent where the substitution materially changes what was ordered.
Where a Vendor cannot fulfil an order, the Vendor must promptly notify TKNAIJA.
Repeated failure to fulfil confirmed orders may result in account restrictions, suspension or termination.
8. Delivery
Delivery may be performed by TKNAIJA, a third-party logistics provider, the Vendor, or another delivery partner designated through the Marketplace.
The Vendor must package products appropriately and provide accurate fulfilment information.
Delivery estimates are estimates and may be affected by location, weather, logistics, traffic, public holidays, security conditions and other circumstances beyond reasonable control.
A Customer should ensure that someone authorized to receive the order is available at the delivery address.
9. Delivery confirmation
An order may be treated as delivered based on appropriate delivery confirmation, which may include delivery records, recipient confirmation, OTP verification, electronic confirmation, logistics records or other reasonable evidence.
Where the Customer claims that an order was not received despite a delivery confirmation, TKNAIJA may investigate the matter and request information from the Customer, Vendor and delivery provider.
10. Product quality and description
The Vendor is responsible for ensuring that the product supplied:
- Matches the material description provided on TKNAIJA.
- Matches the selected size, colour, variant or specification.
- Is of acceptable quality as required by applicable law.
- Is fit for its represented purpose.
- Is properly packaged.
- Is free from undisclosed material defects.
Product photographs may vary slightly from the physical product due to photography, lighting, display settings or reasonable manufacturing variations. Such variations must not materially misrepresent the product.
11. Returns and refunds
Returns and refunds will be handled in accordance with TKNAIJA's applicable Return & Refund Policy and applicable Nigerian law.
Depending on the circumstances, a Customer may be entitled to a return, replacement, repair, refund or other remedy.
A Vendor must cooperate with valid return and refund requests.
Where a product is defective, materially different from its listing, incorrect, damaged before delivery, counterfeit, or otherwise qualifies for a remedy under applicable law or TKNAIJA policy, the Vendor may be responsible for the associated resolution and costs to the extent applicable.
TKNAIJA may facilitate communication and processing of the return or refund.
12. Refund processing
Where a refund is approved, TKNAIJA may process the refund through the applicable payment method or another permitted method under the relevant refund policy.
Refund timing may depend on the payment provider, bank, wallet system and other financial institutions involved.
A Vendor must not independently promise a refund method or amount that conflicts with TKNAIJA's approved refund process.

Customers should report issues through TKNAIJA's designated customer support or dispute-resolution channels. Complaints may relate to:
- Wrong product
- Missing product

- Defective product
- Incorrect size or variant
- Product substantially different from its listing

TKNAIJA may request photographs, videos, delivery information, order records or other evidence reasonably required to investigate a complaint.
Vendors must cooperate with reasonable investigations.

17. Reviews and ratings
Customers may be permitted to rate and review products and Vendors based on genuine purchasing experiences.
Reviews must be truthful, relevant and based on the Customer's actual experience.
Fake, misleading, abusive, discriminatory or commercially manipulated reviews may be removed.
Vendors must not offer unauthorized incentives in exchange for positive reviews.
18. Vendor settlement
Where TKNAIJA receives customer payment on behalf of the Marketplace transaction, Vendor proceeds will be settled according to TKNAIJA's applicable Vendor settlement terms.
Eligible Vendor funds may be subject to a holding period to accommodate delivery confirmation, returns, refunds, disputes, fraud checks and other legitimate processes.
The applicable settlement timing and withdrawal requirements will be communicated to Vendors through the Vendor Agreement and/or Marketplace dashboard.
19. Marketplace commission
TKNAIJA may charge Vendors a Marketplace commission or platform fee according to the Vendor's applicable commercial terms.
The applicable rate may vary according to product category or other approved Marketplace arrangements.
Any applicable fees will be disclosed to Vendors through the relevant Vendor terms or platform.
20. Taxes and legal compliance
Each Vendor is responsible for complying with tax, business registration, product-specific licensing, consumer protection, regulatory and other legal obligations applicable to its business and products.
Nothing in these Terms prevents a party from exercising rights or complying with obligations imposed by Nigerian law.
21. Customer information
Vendors may receive Customer information necessary to fulfil an order.
Such information must be used only for legitimate Marketplace purposes, including fulfilment, delivery, customer service and legally permitted transaction-related activities.
Vendors must not sell, disclose, misuse or retain Customer information contrary to applicable privacy and data-protection requirements.
22. Intellectual property
Vendors must ensure that they have the right to use product photographs, trademarks, descriptions, logos and other materials uploaded to TKNAIJA.
Vendors must not upload content that infringes another person's intellectual property rights.
Customers must not reproduce or commercially exploit TKNAIJA's or a Vendor's protected content without authorization.
23. Limitation of TKNAIJA's role
TKNAIJA does not guarantee the quality, availability, legality or suitability of every product independently listed by a Vendor.
However, TKNAIJA may take reasonable measures to enforce Marketplace standards, investigate complaints, remove prohibited listings and protect Customers and Vendors.
Nothing in these Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited under applicable Nigerian law.
24. Changes to these Terms
TKNAIJA may update these Terms from time to time to reflect changes in the Marketplace, business operations, technology or applicable legal requirements.
Material changes will be communicated through appropriate channels.
Continued use of the Marketplace after an applicable effective date may constitute acceptance of the updated Terms to the extent permitted by law.
25. Governing law
These Terms shall be governed by the laws of the Federal Republic of Nigeria.
The parties shall endeavour to resolve disputes amicably before commencing formal proceedings where appropriate.
Nothing in this clause prevents a Customer or Vendor from exercising any statutory right or seeking a remedy from a competent regulatory authority or court where permitted by Nigerian law.
26. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.
27. Acceptance
By becoming a Vendor on TKNAIJA or purchasing products through the Marketplace, the Vendor and Customer acknowledge that they have read and agreed to comply with these Terms, together with the applicable TKNAIJA policies.
